Acquire by Blackstar Systems — Terms of Service

Effective Date: March 2026

These Terms of Service ("Terms") govern your access to and use of Acquire, a lead tracking and outbound sales application provided by Blackstar Systems ("Blackstar," "we," "us," or "our"). By accessing or using Acquire, you agree to be bound by these Terms. If you do not agree, do not use the application.

1. Description of Services

Acquire is a sales productivity application that enables users to:

Search for business leads by zip code and industry niche using the Google Maps API
Store, organize, and manage lead contact information
Enrich lead data through third-party enrichment tools and integrations
Create and send bulk outbound email campaigns via the Gmail API using your connected Google account
Track campaign history, email delivery status, and outreach activity

2. Eligibility and Account Registration

2.1 Eligibility

You must be at least 18 years old and authorized to form a binding contract to use Acquire. By using the application, you represent that you meet these requirements and that you are using Acquire for lawful business purposes.

2.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us immediately at ops@blackstar.systems if you become aware of any unauthorized access to your account.

3. Google API Integrations

3.1 Google Maps API

Acquire uses the Google Maps API to retrieve business listings based on your search parameters. Your use of search results is subject to the Google Maps Platform Terms of Service. You may not:

Cache, store, or use Google Maps data in ways that violate Google's terms
Resell or redistribute business listings sourced from the Google Maps API
Use Maps data for any purpose outside of your own sales prospecting within Acquire

3.2 Gmail API Integration

Acquire integrates with the Gmail API to allow you to send bulk email campaigns from your connected Google account. By connecting your Gmail account, you:

Authorize Acquire to send emails on your behalf as directed by you within the application
Acknowledge that all emails are sent from your Google account and that you are solely responsible for their content and compliance with applicable law
Agree that your use of the Gmail integration is subject to Google's API Services User Data Policy and Gmail Program Policies
Acknowledge that Acquire does not access your existing Gmail inbox or any emails outside of campaigns initiated within Acquire

Blackstar is not responsible for Gmail account suspensions, sending restrictions, or policy violations resulting from your use of the Gmail integration.

4. Lead Data and Email Campaigns

4.1 Your Data

You retain ownership of all lead data, contact lists, and campaign content you create or import within Acquire. You grant Blackstar a limited license to process this data solely to provide the Services.

4.2 Email Compliance — Your Responsibility

You are solely responsible for ensuring that your use of Acquire's email features complies with all applicable laws and regulations, including but not limited to:

The CAN-SPAM Act (United States)
Canada's Anti-Spam Legislation (CASL)
The General Data Protection Regulation (GDPR) and applicable national implementations
Any other anti-spam, privacy, or electronic communications laws applicable in your jurisdiction or the jurisdictions of your recipients

Your compliance obligations include, without limitation:

Having a lawful basis or consent to email each recipient
Including your physical mailing address in all commercial emails
Including a clear, functioning unsubscribe mechanism in every commercial email
Honoring opt-out requests within required timeframes
Not sending emails to contacts who have previously unsubscribed

Blackstar does not review, approve, or take responsibility for the content of your email campaigns or your compliance with email law.

4.3 Third-Party Enrichment

If you connect third-party data enrichment services to Acquire, you are responsible for complying with those providers' terms of service and for the accuracy and legality of enriched data you use within the platform.

4.4 Prohibited Email Practices

You agree not to use Acquire's email features to:

Send unsolicited bulk email (spam) to contacts who have not consented or for whom you lack a lawful basis to contact
Impersonate any person, business, or entity
Send deceptive, misleading, or fraudulent messages
Harvest email addresses using automated means from sources that prohibit such collection
Transmit malware, phishing content, or harmful code
Violate any applicable anti-spam, privacy, or consumer protection law

5. Acceptable Use

5.1 Permitted Use

You may use Acquire only for lawful sales prospecting, lead management, and outbound email campaigns conducted in compliance with these Terms and all applicable laws.

5.2 Prohibited Activities

You agree not to:

Use Acquire for any unlawful, fraudulent, or abusive purpose
Reverse engineer, decompile, or attempt to extract source code from the application
Interfere with or disrupt the security, integrity, or performance of the Services
Attempt to gain unauthorized access to Blackstar's systems or other users' accounts
Use automated scraping tools to extract data from Acquire beyond your own account data
Resell, sublicense, or provide access to Acquire to third parties without our written consent
Remove or obscure any proprietary notices within the application

6. Third-Party Services

Acquire integrates with third-party services including Google (Maps API, Gmail API) and optional data enrichment providers. Blackstar does not control these services and is not responsible for:

Their availability, accuracy, or security
Changes to their APIs, features, or terms that affect Acquire's functionality
Data loss or unauthorized access resulting from third-party service failures

You are responsible for complying with the terms of all third-party services you use in connection with Acquire.

7. Intellectual Property

Acquire and all underlying software, designs, interfaces, and documentation are owned by Blackstar Systems and protected by applicable intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use Acquire for your internal business purposes. No other rights are granted.

8. Service Availability and Modifications

We strive to provide reliable service but do not guarantee uninterrupted or error-free availability. We reserve the right to modify, suspend, or discontinue any aspect of Acquire at any time, with or without notice. We may update these Terms from time to time; continued use of Acquire after updates constitutes acceptance.

9. Fees and Payment

If you subscribe to a paid plan, your subscription terms govern fees, billing cycles, and payment. We reserve the right to modify pricing with reasonable advance notice.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. BLACKSTAR DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THE ACCURACY OF LEAD DATA SOURCED FROM GOOGLE MAPS OR THIRD-PARTY ENRICHMENT PROVIDERS, THE DELIVERABILITY OF EMAILS SENT THROUGH THE GMAIL INTEGRATION, OR ANY PARTICULAR BUSINESS OUTCOMES FROM USE OF THE APPLICATION.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLACKSTAR SYSTEMS, ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES. BLACKSTAR'S TOTAL LIABILITY WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100) IF NO FEES WERE PAID.

12. Indemnification

You agree to indemnify and hold harmless Blackstar Systems, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of or related to:

Your use of Acquire
Your violation of these Terms
Your violation of any applicable law, including anti-spam and data privacy laws
Your email campaigns and outreach activities
Your failure to obtain required consents from lead contacts
Any claim that your use of Google Maps or Gmail API data violated Google's terms

13. Termination

You may stop using Acquire at any time. We may suspend or terminate your access immediately if you violate these Terms, engage in fraudulent or abusive conduct, or pose a legal or security risk to Blackstar or other users. Upon termination, your right to access the Services ceases and we may delete your data in accordance with our retention policies.

14. Governing Law and Disputes

These Terms are governed by the laws of the United States and the State of Florida. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Florida for resolution of any disputes. You waive any right to participate in class action lawsuits or class-wide arbitration.

15. General

These Terms constitute the entire agreement between you and Blackstar regarding Acquire. If any provision is found invalid, the remaining provisions remain in effect. Our failure to enforce any right does not constitute a waiver. You may not assign these Terms without our written consent.
